1) The Service
QuillaFrame Team ("QuillaFrame", "we", "us", or "our") provides the QuillaFrame mobile application and related
services (collectively, the "Service") to help transform your movie-going experience.
2) Changes to the Service or Terms
We may update the Service or these Terms from time to time. We will update the Effective Date when changes take
effect. If changes are material, we will take reasonable steps to notify you through the Service or other
appropriate means. Continued use means you accept the updated Terms.
3) Accounts
3.1 Account information
Certain features may require an account. You agree to provide accurate and up-to-date information, which may
include your name, username, and email address.
3.2 Account security
You are responsible for maintaining the confidentiality of your credentials and for all activity under your
account. Notify us if you suspect unauthorized access.
4) Your Content and AI Features
4.1 Your content
You may submit text, images, or other materials ("User Content"). You retain ownership of your User Content as
between you and QuillaFrame.
You grant QuillaFrame a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, and
process your User Content solely to provide, maintain, and improve the Service, including generating outputs you request.
4.2 AI-assisted features
Some features may be AI-assisted and may require you to upload text and/or images. You control whether you upload
content and whether generation occurs. You are responsible for ensuring you have the necessary rights to upload
any User Content you provide.
4.3 Photos and face-related information
We do not perform facial recognition and do not create biometric identifiers or biometric information. Images used
for one-time generation are processed and deleted as described in our Privacy Policy.
4.4 Prohibited content
- Do not upload content that violates law or infringes rights.
- Do not upload defamatory, harassing, hateful, or threatening content.
- Do not upload malware or attempt to disrupt the Service.
- Do not attempt to reverse engineer or bypass security controls.
5) Acceptable Use
- Do not use the Service for unlawful purposes.
- Do not impair, overburden, or damage the Service.
- Do not scrape or harvest data in bulk without permission.
- Do not interfere with or gain unauthorized access to systems.
6) Privacy
Our Privacy Policy explains how we collect and use information. By using the Service, you agree that we can handle
your information as described in the Privacy Policy.
7) Third-Party Services
The Service may interact with third-party platforms or services (for example, operating system services). We are not
responsible for third-party services, and your use of them is subject to their terms and policies.
8) Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUILLAFRAME DISCLAIMS ALL
WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUILLAFRAME WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL,
OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUILLAFRAME’S TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU PAID
TO QUILLAFRAME (IF ANY) FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
10) Indemnification
You agree to indemnify and hold harmless QuillaFrame Team from and against claims and expenses arising out of your use of
the Service, your User Content, or your violation of these Terms or applicable law.
11) Termination
You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe you violated these
Terms or if necessary to protect the Service, users, or our rights.
12) Governing Law
These Terms are governed by the laws of the jurisdiction where QuillaFrame Team has its principal place of business,
without regard to conflict-of-laws principles.
13) Dispute Resolution and Binding Arbitration
Except where prohibited by law, you and QuillaFrame agree that disputes arising out of or relating to these Terms or the
Service will be resolved by binding arbitration rather than in court, and you and QuillaFrame waive the right to a jury trial.
The arbitration will be conducted by a neutral arbitrator under applicable arbitration rules. The seat/venue will be based on
QuillaFrame Team’s principal place of business unless applicable law requires otherwise. Either party may seek injunctive or equitable
relief to protect intellectual property or confidential information.
14) Miscellaneous
- Severability: invalid provisions do not affect the rest.
- Assignment: you may not assign without consent; we may assign in corporate transactions.
- Entire agreement: these Terms and the Privacy Policy are the entire agreement regarding the Service.
